Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”, or “User”) and ACTASA GROUP LIMITED (“ACTASA”, “we”, “us”, or “our”), a company incorporated in the Hong Kong Special Administrative Region, governing your access to and use of the Tutor Wong (補習天王) platform, including the website at tutorwong.com, mobile applications on iOS and Android, and all related services and application programming interfaces (collectively, the “Platform” or “Service”).

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at the Privacy Policy page on our Platform). If you do not agree to these Terms, you must not access or use the Platform.

If you are accessing the Platform on behalf of an organisation (such as a tutor centre or educational institution), you represent and warrant that you have the authority to bind that organisation to these Terms, and references to “you” shall include both you individually and the organisation.

2. Eligibility

(a) You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and enter into these Terms.

(b) The Platform is designed for use by parents, guardians, and tutors on behalf of children and students. Persons under the age of 18 may use the Platform only under the direct supervision of a parent or guardian who has accepted these Terms and assumes responsibility for the minor’s use.

(c) By creating an account, you represent and warrant that the information you provide during registration is accurate, complete, and current, and that you will update such information promptly if it changes.

3. Account Registration and Security

(a) You may register an account using email and password credentials or through Google OAuth authentication.

(b) You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorised by you.

(c) You must notify us immediately upon becoming aware of any unauthorised use of your account or any other breach of security.

(d) We reserve the right to suspend, disable, or terminate any account that we reasonably believe has been compromised, is inactive for an extended period, or is in violation of these Terms.

(e) Each account is personal and non-transferable. You may not sell, assign, sublicense, or otherwise transfer your account or any rights under these Terms to any other person or entity.

4. Description of Services

Subject to these Terms, the Platform provides the following AI-powered educational services:

(a) Homework Grading — upload photographs of handwritten or printed homework for AI-powered grading aligned with the Hong Kong curriculum across K1 to S6, covering Mathematics, English, Chinese, and other supported subjects.

(b) Step-by-Step Solutions — AI-generated explanations for incorrect answers, delivered in bilingual format (English and Traditional Chinese).

(c) AI Tutor — on-demand AI tutoring in text-based mode (instant written solutions) and video mode (animated tutorial videos with narration).

(d) Progress Analytics — per-child tracking of academic performance over time, including error pattern analysis (careless, conceptual, method, and incomplete working), topic-level proficiency, and trend identification.

(e) Adaptive Worksheets — AI-generated practice worksheets that target each child’s identified weak areas, with question difficulty adapted based on error type.

(f) Question Bank — a personal revision library of questions extracted and deduplicated from graded homework submissions, browsable by subject, grade, topic, and difficulty.

(g) Performance Reports — downloadable AI-generated summary reports analysing a child’s academic progress, strengths, weaknesses, and actionable study recommendations.

5. Subscription Plans and Fees

(a) The Platform offers multiple subscription tiers: Free, Basic, Pro, and Ultra. The features, usage limits, and pricing applicable to each tier are described on our pricing page and may be updated from time to time.

(b) All prices are quoted in Hong Kong Dollars (HK$) unless otherwise indicated.

(c) New paid subscriptions are processed through Apple App Store or Google Play in-app purchases. Stripe may continue to process legacy web subscriptions and historical billing records.

(d) By subscribing to a paid tier, you authorise us (or our designated payment processor) to charge the payment method on file for the subscription fees applicable to your selected tier at each billing cycle.

(e) We reserve the right to modify subscription pricing upon not less than 30 days’ prior written notice (via email or in-app notification). Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

(f) References to Unlimited in a paid tier mean ordinary personal, family, or tutoring use by a human user, subject to fair-use safeguards. Unlimited features do not permit automated scraping, bulk generation, resale, shared public access, classroom-scale batch processing, or other usage that materially exceeds normal household or tutoring use.

(g) Pro unlimited grading and step-by-step solution features are subject to daily fair-use caps of 40 grading submissions per day and 20 solution requests per day. Ultra unlimited features do not have a published daily quota, but remain subject to platform rate limits, anti-abuse controls, and reasonable throttling or temporary restriction where usage is automated, resale-oriented, shared with unauthorised users, or threatens service quality for other users.

6. Free Tier

(a) The Free tier provides limited access to the Platform, including up to 20 homework grading submissions per month, subject to a daily cap of 2 submissions, and up to 1 child profile.

(b) The daily Free tier quota resets at 1:00 AM Hong Kong Time (HKT, UTC+8) each day.

(c) We reserve the right to modify the features, limits, or availability of the Free tier at any time without prior notice.

7. Payment and Billing

(a) Subscription fees are charged in advance at the beginning of each billing period.

(b) If a payment fails, we may attempt to retry the charge. If payment cannot be successfully processed, we may suspend or restrict access to paid features until payment is received.

(c) You are responsible for any applicable taxes, duties, or levies imposed by your jurisdiction in connection with your subscription or use of the Platform.

(d) For in-app purchases made through Apple App Store or Google Play, the respective platform’s payment terms, billing practices, and refund policies apply in addition to these Terms.

8. Cancellation and Refunds

(a) You may cancel your subscription at any time through your account settings on the Platform, via the Stripe customer portal, or through the subscription management features of the applicable app store (Apple or Google).

(b) Cancellation takes effect at the end of the current billing period for which you have already paid. You will retain access to paid features until the conclusion of that period.

(c) We do not provide pro-rata refunds for partial or unused portions of a billing period.

(d) Refund requests based on exceptional or extenuating circumstances may be submitted to us via the Contact page and will be considered on a case-by-case basis at our sole discretion.

(e) For subscriptions purchased via in-app purchase, refund requests are governed by the refund policies of the applicable app store (Apple App Store or Google Play). We do not control and are not responsible for refund decisions made by Apple or Google.

9. Referral Programme and Bonus Credits

(a) Registered users may earn bonus credits by referring new users to the Platform through the referral programme. The specific rewards, terms, and conditions of the referral programme are displayed on the Platform and may be modified at any time.

(b) Bonus credits are subject to expiration dates (where applicable) and may only be redeemed in accordance with the programme rules displayed on the Platform.

(c) We reserve the right to modify, suspend, or terminate the referral programme, or to revoke bonus credits, at any time and without prior notice.

(d) Any abuse of the referral programme — including but not limited to creating fictitious or duplicate accounts, self-referral, automated or scripted referrals, or any other fraudulent conduct — will result in immediate forfeiture of all accrued bonus credits and may lead to suspension or permanent termination of your account.

10. User Content and Submissions

(a) “User Content” means all materials that you upload, submit, or transmit through the Platform, including homework photographs, child profile information, and any other data or content provided by you.

(b) You retain ownership of your User Content. By uploading or submitting User Content to the Platform, you grant ACTASA a worldwide, non-exclusive, royalty-free, sublicensable licence to use, process, store, reproduce, and display your User Content solely for the purposes of providing and improving the Service, including AI model training using anonymised and aggregated data.

(c) You represent and warrant that: (i) you own or have obtained all necessary rights, licences, and consents to upload the User Content; (ii) the User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party; and (iii) the User Content does not contain any unlawful, defamatory, harmful, or objectionable material.

(d) We may use anonymised and aggregated data derived from User Content (such as question types, common error patterns, and academic trends) to improve our AI models, algorithms, and overall Service quality. Such aggregated data will not identify any individual user or child.

11. AI Disclaimer and Limitations

(a) THE PLATFORM USES ARTIFICIAL INTELLIGENCE, INCLUDING LARGE LANGUAGE MODELS AND COMPUTER VISION MODELS, TO ASSIST WITH HOMEWORK GRADING, SOLUTION GENERATION, TUTORING, WORKSHEET CREATION, AND PERFORMANCE ANALYSIS. ALL AI-GENERATED OUTPUT IS PROVIDED ON AN “AS IS” BASIS AND MAY CONTAIN ERRORS, INACCURACIES, OMISSIONS, OR HALLUCINATIONS.

(b) AI grading results, solutions, error analysis, and reports are advisory and supplementary in nature. They do not constitute professional educational assessment, official academic certification, or formal examination marking.

(c) You acknowledge and agree that: (i) AI models may produce incorrect grades, solutions, or explanations; (ii) optical character recognition (OCR) may misread handwriting — particularly complex characters, mathematical notation, diagrams, or poor-quality images; (iii) mathematical verification is applied where possible but is not infallible; and (iv) AI outputs may vary between uses even for the same input.

(d) You are solely responsible for reviewing and verifying all AI-generated results before relying upon them for any educational, academic, or other decision.

(e) ACTASA does not guarantee the accuracy, completeness, reliability, or fitness for purpose of any AI-generated content, including but not limited to grading scores, step-by-step solutions, error classifications, performance reports, worksheets, or tutoring output.

12. Acceptable Use

You agree that you will not, and will not permit any third party to:

(a) use the Platform for any purpose that is unlawful or prohibited by these Terms, or in violation of any applicable law, regulation, or ordinance of Hong Kong or any other jurisdiction;

(b) upload, submit, or transmit any content that is harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;

(c) attempt to gain unauthorised access to the Platform, other users’ accounts, or any computer systems or networks connected to the Platform;

(d) interfere with or disrupt the integrity, security, or performance of the Platform or its underlying infrastructure, including through excessive or automated requests, scraping, denial-of-service attacks, or injection of malicious code;

(e) use the Platform to harvest, collect, or store personal data of other users;

(f) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform or any of its components;

(g) create multiple accounts for the purpose of circumventing usage limits, abusing the referral programme, or evading suspension or termination;

(h) resell, sublicense, redistribute, or commercially exploit any part of the Platform or Service without our prior written consent;

(i) use the Platform in any manner that could damage, disable, overburden, or impair the Service, or interfere with any other party’s use and enjoyment of the Platform.

13. Intellectual Property

(a) The Platform, including all software, source code, algorithms, AI models (to the extent owned or licensed by us), user interface design, visual design, documentation, trademarks, logos, and all other content and materials (excluding User Content) is the exclusive property of ACTASA GROUP LIMITED or its licensors and is protected by intellectual property laws of Hong Kong and applicable international treaties.

(b) Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable, non-sublicensable licence to access and use the Platform for your personal, non-commercial educational purposes.

(c) The Tutor Wong name, the 補習天王 name, associated logos, and brand elements are trademarks of ACTASA GROUP LIMITED. You may not use, reproduce, or display these trademarks without our prior written consent.

(d) AI-generated content produced by the Platform (including grading results, solutions, worksheets, and reports) is provided to you for personal educational use. You may not commercially redistribute, resell, or sublicense any AI-generated content without our prior written consent.

14. Third-Party Services

(a) The Platform integrates with third-party services, including but not limited to Stripe (payment processing), Google (OAuth authentication, Cloud Vision API), Amazon Web Services (cloud storage), and various AI model providers. Your interactions with these third-party services may be subject to their respective terms of service and privacy policies.

(b) We are not responsible for the availability, accuracy, content, or data protection practices of any third-party service. Any reliance on third-party services is at your own risk.

(c) The inclusion of links to third-party websites or services on the Platform does not constitute an endorsement, recommendation, or affiliation by ACTASA.

15. Service Availability and Modifications

(a) We will use commercially reasonable efforts to maintain continuous and uninterrupted access to the Platform, but we do not guarantee that the Service will be available at all times or free from interruption.

(b) The Platform may be temporarily unavailable due to scheduled or emergency maintenance, software updates, third-party service outages, or circumstances beyond our reasonable control.

(c) We reserve the right to modify, enhance, suspend, or discontinue any feature, functionality, or aspect of the Platform at any time, with or without notice.

(d) We will use reasonable efforts to provide advance notice of material changes to the Service that may materially and adversely affect your use of the Platform.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF HONG KONG:

(a) THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES MADE AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

(b) ACTASA EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND COMPLETENESS.

(c) WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

(d) WE DO NOT WARRANT THE ACCURACY, RELIABILITY, COMPLETENESS, OR FITNESS FOR PURPOSE OF ANY AI-GENERATED CONTENT, INCLUDING GRADING RESULTS, SOLUTIONS, ERROR ANALYSIS, ACADEMIC REPORTS, WORKSHEETS, OR TUTORING OUTPUT. USE OF AI-GENERATED CONTENT IS ENTIRELY AT YOUR OWN RISK.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF HONG KONG:

(a) IN NO EVENT SHALL ACTASA GROUP LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM.

(b) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL AMOUNT YOU HAVE ACTUALLY PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) HK$500.

(c) THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, STATUTORY LIABILITY, OR OTHERWISE) AND EVEN IF ACTASA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(d) NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED UNDER THE LAWS OF HONG KONG, INCLUDING (WITHOUT LIMITATION) LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, LIABILITY FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT MANDATORY LAW DOES NOT PERMIT TO BE EXCLUDED OR LIMITED.

18. Indemnification

You agree to indemnify, defend, and hold harmless ACTASA GROUP LIMITED, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or relating to: (a) your access to or use of the Platform; (b) your breach of any provision of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) any User Content you upload, submit, or transmit through the Platform; or (e) any dispute between you and any third party relating to the Platform.

19. Governing Law and Jurisdiction

(a) These Terms are governed by and shall be construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles.

(b) Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR. You irrevocably submit to the exclusive jurisdiction of such courts and waive any objection on the grounds of venue or forum non conveniens.

20. Dispute Resolution

(a) Before initiating any formal legal proceedings, the parties agree to first attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiation. You may contact us via the Contact page on our Platform to initiate such negotiations.

(b) If the dispute is not resolved through negotiation within 30 days of the initial written notice, either party may pursue formal legal remedies in the courts of Hong Kong SAR in accordance with Section 19 above.

21. Termination

(a) You may terminate your account at any time by contacting us via the Contact page or through the account deletion feature in your account settings (where available).

(b) We may suspend or terminate your access to the Platform immediately, without prior notice or liability, if: (i) you materially breach these Terms; (ii) we reasonably believe that your account has been compromised or is being used fraudulently; (iii) continued provision of the Service to you becomes commercially impractical; or (iv) we are required to do so by law, regulation, or court order.

(c) Upon termination: (i) your right to access and use the Platform ceases immediately; (ii) we may retain or delete your account data in accordance with our Privacy Policy and applicable data retention obligations; and (iii) any outstanding fees remain due and payable.

(d) The following sections shall survive termination of these Terms: Intellectual Property, AI Disclaimer and Limitations, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, and any other provisions that by their nature are intended to survive.

22. General Provisions

(a) Entire Agreement — These Terms, together with our Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and ACTASA with respect to your access to and use of the Platform, and supersede all prior or contemporaneous oral or written agreements, proposals, and representations.

(b) Severability — If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

(c) No Waiver — Our failure or delay in exercising any right, power, or remedy under these Terms shall not operate as a waiver thereof, nor shall any single or partial exercise of any right preclude further exercise of that or any other right.

(d) Assignment — You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets.

(e) Force Majeure — We shall not be liable for any delay or failure to perform any obligation under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, epidemics or pandemics, government orders or restrictions, war or civil unrest, telecommunications or internet outages, power failures, or third-party service disruptions.

(f) Language — These Terms are available in English and Traditional Chinese. In the event of any inconsistency, ambiguity, or conflict between the two versions, the English version shall prevail.

(g) Notices — We may provide notices to you via email to the address associated with your account, via in-app notifications, or by posting a conspicuous notice on the Platform. Notices from you to us should be directed via the Contact page on our Platform.
